Elevate Marketing – Terms & Conditions

1. Introduction

Elevate Marketing (“we”, “us”, “our”) provides strategic marketing, content creation, and digital support services to clients (“you”, “your”).

These Terms & Conditions apply to all services provided and form the basis of our working relationship.​

 

2. Acceptance

By engaging Elevate Marketing’s services, including acceptance of a proposal, written confirmation, or payment of fees, you agree to these Terms & Conditions.​

 

3. How We Work

Elevate operates as a strategic marketing partner, combining planning, content creation, and ongoing optimisation.

All services are delivered in line with an agreed proposal or scope of work (“Proposal”).​

 

4. Onboarding

All new clients begin with a structured onboarding period (typically 2 weeks), designed to establish the foundations for delivery.

This may include:

  • Strategy development and content direction

  • Audit and review of existing content, campaigns, and performance

  • Content planning and initial content creation

  • Setup of content management and scheduling systems

  • Establishment of approval workflows

  • Requesting and organising access to relevant platforms (e.g. social media, advertising accounts, website)

  • Advertising account setup or review (including platform configuration where required)

  • Collection and review of existing assets, including brand guidelines, imagery, and content

  • Setup of shared storage systems (e.g. Dropbox or similar) for content management and collaboration

  • Review of existing accounts, data, and performance insights where available

No content or campaigns will go live during this phase unless otherwise agreed.

Timely provision of access, materials, and feedback is required to complete onboarding within the expected timeframe.
Onboarding timelines may be extended where access, materials, or approvals are delayed.

5. Content & Delivery

All content is professionally created, reviewed, and edited before publication.

Elevate operates a structured content approval process, ensuring content is planned, reviewed, and aligned before publication.

Content may be shared for approval where required. Delays in feedback or approvals may impact delivery timelines.

 

6. Content Approval & Revisions

Content will be shared with you for review and approval where required.

Unless otherwise agreed, services include up to two rounds of revisions per piece of content. Additional revisions or changes outside the agreed scope may incur additional fees.

You are responsible for reviewing content in a timely manner and ensuring accuracy before approval.

Once content is approved by you, it is considered accepted for publication.

Elevate takes reasonable care in preparing and reviewing content. You remain responsible for the accuracy of business-specific information, claims, and compliance with applicable laws and regulations.

 

7. Client Responsibilities

You agree to:

  • Provide accurate and complete information

  • Ensure all materials supplied are owned or properly licensed

  • Provide timely feedback and approvals

  • Grant required access to accounts and platforms

Delays in communication or access may impact delivery timelines.

 

8. Compliance & Claims

You are solely responsible for ensuring that all content, claims, promotions, and offers comply with applicable laws, regulations, and industry standards.

Elevate does not provide legal, financial, or medical advice.

 

9. Use of Tools & AI

Elevate may use industry-standard tools, including AI-assisted technologies, to support content creation and delivery.

All content is reviewed and edited prior to publication.

 

10. Blogs & SEO

Where blog or SEO-related content is provided:

  • Content is created based on available information, research, and client input

  • While best practices are applied, search rankings, traffic, and performance outcomes cannot be guaranteed

You are responsible for ensuring the accuracy of any business-specific, technical, or regulated information included within content.

 

11. Third-Party Platforms

Services may involve third-party platforms (e.g. social media, advertising, analytics tools).

Performance and availability may be affected by factors outside our control, including platform updates, outages, or policy changes.

Elevate will take all reasonable steps to mitigate disruption and maintain continuity of service where reasonably possible, but cannot guarantee uninterrupted availability.

12. Licensing & Assets

Elevate may use licensed stock imagery, music, and third-party assets.

These are licensed for specific uses and must not be reused outside agreed purposes without appropriate permissions.

 

13. Account Access & Security

Access to client accounts is managed using appropriate and secure methods.

Where possible, Elevate will use platform-approved access controls (such as Meta Business Manager permissions) rather than direct login sharing.

Elevate does not request or store sensitive login credentials unless strictly necessary and agreed in advance.

We take reasonable steps to maintain the confidentiality of account access and do not share access without your permission.

You remain responsible for maintaining overall control and security of your accounts, including user permissions and access settings.

 

14. Data Protection

Elevate processes personal data in accordance with applicable data protection laws in Spain and the European Union, including the General Data Protection Regulation.

Where applicable:

  • You remain the data controller of any personal data provided

  • Elevate acts as a data processor for the purpose of delivering agreed services

Both parties agree to handle personal data lawfully, securely, and only as necessary for the provision of services.

15. Confidentiality

Both parties agree to treat all non-public information shared during the course of the engagement as confidential.

Elevate will take reasonable steps to protect client information and will not disclose it to third parties without permission, except where required to deliver services or by law.

This obligation continues after the end of the engagement.

 

16. Fees & Payment

Fees are payable monthly in advance and must be settled between the 1st and 5th of each month unless otherwise agreed.

Late payment may result in suspension of services.

 

17. Advertising Management

Advertising services are managed in line with an agreed strategy and budget.

For advertising budgets exceeding €1,000 per month:

  • A management fee applies

  • Plus 20% of ad spend

For advertising budgets under €1,000 per month:

  • Ad spend may be paid by you to Elevate in advance and allocated to a dedicated or virtual payment method for campaign management

Ad spend may be managed in one of the following ways, as agreed during onboarding and outlined in the Proposal:

  • Paid directly by you to the relevant platform using your own payment method, or

  • Managed by Elevate using an agreed payment method (such as a dedicated or virtual card)

Where Elevate manages ad spend on your behalf:

  • Budgets and limits will be agreed in advance

  • Spend can be tracked and reported where applicable

Advertising accounts remain your property.

Delays or failures in payment may result in campaigns being paused or stopped by the platform.
Elevate is not responsible for interruptions in advertising performance caused by payment issues.

Persistent payment issues may result in suspension of services.

18. Cancellation

A minimum of 30 days’ written notice is required to cancel services.

Services remain active and chargeable during the notice period.

 

19. Intellectual Property

Final, paid-for deliverables belong to you.

Elevate retains the right to use work for portfolio and marketing purposes.

Unused concepts remain the property of Elevate.

 

20. Indemnity

You agree to indemnify and hold harmless Elevate Marketing from any claims, damages, or liabilities arising from content, materials, or instructions provided by you.

21. Liability

To the fullest extent permitted by law:

  • Elevate is not liable for indirect or consequential losses

  • Total liability is limited to the fees paid for the services giving rise to the claim

Elevate does not guarantee specific results, including leads, sales, or performance outcomes.

22. Suspension of Services

Elevate reserves the right to suspend services in cases of non-payment, lack of communication, or unreasonable conduct.

23. Non-Solicitation

You agree not to engage or hire Elevate employees or contractors during the engagement and for 6 months after its end.

​

24. Force Majeure

Elevate is not liable for delays or failure caused by events beyond its reasonable control.

 

25. Governing Law

These Terms are governed by the laws of Spain, and any disputes shall be subject to the jurisdiction of the Spanish courts.

 

26. Entire Agreement

These Terms, together with any agreed Proposal, form the entire agreement between the parties.
